Expertise

Steven Casper is a corporate lawyer who specialises in mergers & acquisitions and equity capital market transactions.

With more than 25 years’ experience, Steven manages M&A deals in both the public and private spheres, across a range of industry sectors.

In the area of securities law, Steven’s experience includes public offerings and IPO’s, private placements as well as regulated takeovers, reverse takeovers and schemes of arrangement. Steven has considerable experience in managing large teams of advisers and Steven’s focus in this regard is to ensure the smooth running of large transactions.

In addition to his expertise on Corporations Act and ASX Listing Rule matters, Steven advises boards and senior management of listed and private companies on corporate governance related matters, having become the ‘trusted adviser’ to many clients over his career.

Steven joined SBA Law in 2014, having previously led the Melbourne corporate team at the international law firm DLA Piper.

Experience

Steven’s experience in corporate and commercial transactions includes:

  • In 2024, Steven acted for Riskonnect, a world leader in integrated risk management solutions, in relation to its acquisition of Camms, a leading provider of enterprise cloud-based software for governance, risk and compliance.
  • Legal adviser in relation to the sell down by vendor shareholders to private equity firm Next Capital of shares in the online comparison business Compare Club which was completed in late 2022.
  • Legal adviser in relation to the sell down by the Fayman Group of a 50% equity stake in the Australian operations of Fayman International to the New Zealand-listed Scales Corporation Limited which was completed in late 2022.
  • In 2020, Steven acted for The Reject Shop in relation to its traditional non-renounceable rights issue which raised $25M and was underwritten by Ord Minnett.
  • In 2020, Steven acted for Breville Group in its $104M institutional placement and share purchase plan underwritten by Goldman Sachs and UBS. This included an institutional offer undertaken in the US.
  • Steven led the legal team on the scheme of arrangement where the Capgemini Group in France purchased all of the shares in RXP Services Limited which was implemented in 2021.

Recently, Steven has been recognised in the current edition of ‘Best Lawyers in Australia’ and in Doyle's Guide in the categories of leading corporate and leading business and commercial lawyers, Victoria.

Professional boards/committees

Steven is a director of Murdoch Children’s Research Institute.
