Morris Landau and his commercial/corporate team have recently advised domestically-listed public companies on a range of international capital raising opportunities.

These initiatives included:

  1. Advising on the establishment of a Level 1 American Depositary Receipt Program for a listed company seeking to raise funds offshore with the assistance of an institutional custodian. Morris and his team worked closely with the client in advising on the process, timing, and advantages and disadvantages of proceeding with a secondary listing of this type and the disclosure and other regulatory obligations involved.
  2. Guiding an Australian listed client in the negotiation of large project finance by way of an Offtake Agreement, including delivery and prepayment, syndicated lending strategies and the legal issues and exposures of debt versus equity initiatives.
  3. Advising and acting for a domestically listed natural resources company in a dual listing on the Toronto Stock Exchange, involving due diligence and internal corporate advisory and certifications.
  4. Advising and acting in a $50M placement of listed shares to a range of professional and sophisticated investors without requiring a prospectus.
